1001 TERMS

*INDEMNIFICATION, COPYRIGHT, INTELLECTUAL PROPERTY OWNERSHIP & DISCLAIMER:

You agree to indemnify, defend, and hold harmless Shine the way 366cc t/a 1001 from any and all liability, penalties, losses, damages, costs, expenses, legal fees, causes of action or claims caused by or resulting indirectly from your participation and this order which damages either you, 1001, or any other party or parties without limitation or exception. This indemnification and hold harmless agreement extends to all issues associated with your involvement, participation and order. Every effort has been made to ensure that all the information contained is as accurate as possible, Shine the way 366cc t/a 1001 cannot be held responsible for any inaccuracies, textual errors, colour matching and project deadlines been extended or claims arising therefrom, whatsoever.

The client indemnifies Shine the way 366cc t/a 1001 and keeps it fully indemnified from and against any claim or demand made by any third party and/or from or against any loss, damage or liability which Shine the way 366cc t/a 1001 may suffer or incur (including legal costs and expenses on the attorney and own client scale and other professional costs and expenses incurred) as a result of or in connection with any information or pictures which is false, misleading, inaccurate, defamatory or an infringement of the intellectual property rights of any such third party, including without limitation, any trade mark or copyright infringement. The client gives us full permission to copy any images/photos and text information from their website and all their advertising material. The copyright and other intellectual property rights are fully owned by Shine the way 366cc t/a 1001. No product will contain any explicit sexual, sexually provocative, or pornographic content, political propaganda or religious markings, or seemingly “spiritual” information or symbols of any kind. 1001 may refuse to produces or continue with any product if it feels that its integrity or morals will be compromised, the client will then need to make alternative arrangements to produce/complete the require product or come to a suitable negotiation with 1001.

1001 gives no representations or warranties with regard to the likely effectiveness or extent of the products and services it offered. The client agrees that 1001 may close down the Website or remove the Clients information from the Website or delete all work done at its sole discretion if it client violates these terms and conditions mentioned.

1001 shall have no liability of whatsoever nature for any indirect or consequential loss howsoever caused and whether arising under contract, delict or otherwise. If, for whatever reason, 1001 is prevented from or unable to carry out its obligations in terms of this Agreement by reason of any acts or events beyond its reasonable control, including, but not limited to, statutory or governmental intervention, loss of or interruption to telecommunication and/or electrical supply, maintenance and/or down time of the Website or product, 1001 shall have no liability to the client whatsoever.

Any indulgence or extension of time granted by 1001 to the client shall not be construed as a waiver or variation of any of the Clients rights or duties. No alteration, cancellation, variation of, or addition hereto shall be of any force or effect unless reduced to writing and signed by all parties to this Agreement or their duly authorised representatives.

SEO Settings & keywords: Shine the way 366cc t/a 1001 will rent the (SEO) search engine optimisation settings & keywords to the client, until the client cancels the SEO services rendered by 1001. All cancellations must be done in writing two calendar months(60days), 1001 will remove all SEO settings and keywords made to the clients site. The copyright and intellectual property rights for all SEO Settings & Keywords submitted by 1001 are fully owned by Shine the way 366cc t/a 1001. Please note: No guarantees are given to the client with regards to SEO as no company can guarantee top page ranking results. 1001 will Endeavour to impliment and optimise the clients website to achieve the better results for its clients and will charge the client 1xhour labor for this service and renting of these settings every month. 1001 SEO Service is limited to onsite optimisation only, and encourages the client to do their own off-site SEO. (offsite = Marketing oth er than internet related, such as print media, competitions, updating of website with new information and arranging suppliers links to the site.) All 1001's SEO efforts will focus on +-15 keyword/phrases per domain/url.

All quotes include one meeting (1hour Free) with the client to establish needs and requirements for the project, a one (1hour Free) meeting for the proof meeting and one delivery (Free within 50km form 1001 offices) of the final product. All other meetings will be charged at 15min increments at standard hourly rates of R285-00per hour and additional deliveries or travel at standard AA travel rates.

All deposits are non-refundable on jobs commenced. Payment of deposit serves as acceptance of this quote and our terms and conditions of sale. All clients are required to sign an acceptance of *proof form, the final product and *proof changes will be completed and delivered in conjunction with the final payment, upon final payment all under construction banners will be removed & the website will be made "live" to the public. 1001 reserves the right to suspend service or delete the website should the client not make payment for services rendered and products produced for any reason whatsoever if the client does not settle their account. E.&O.E.

*The proof - The alterations, amendments and tweaks of spelling errors, colors and layout. The changes regarding the general layout of the website may not exceed more than 15% of the entire project, layout design or number of pages.

The proof stage of all projects is required in order to complete the project as far as possible, at proof stage the website will be at +-90% completion of the original meeting & understanding of the clients requirements and as per proposal by 1001.
